- Assess staff continuity and the director's role. Childcare quality and compliance ride on teacher and director retention, so evaluate tenure, wage rates, employment agreements, and whether key staff intend to stay through and beyond a transition.
- At 10x SDE, this is priced far above typical childcare comps of roughly 2.5x to 4.5x, so treat the ask as a starting point and structure aggressively. Demand a seller note or earnout tied to enrollment retention to bridge the gap between the ask and defensible value.
