Welcome to Accredited, a media and research platform (“Accredited,” “we,” “us,” or “our”). By accessing or using our website, newsletter, software tools, paid subscriptions, or related services (collectively, the “Services”), you agree to these Terms and Conditions (“Terms”). If you do not agree, please do not use our Services.
1. Eligibility and Acceptance
By creating an account, starting a free trial, purchasing a subscription, or otherwise using our Services, you represent that you are at least 18 years old and capable of entering into a binding contract, and you agree to be bound by these Terms. Your continued use of the Services signifies your acceptance of these Terms and any updates we may post.
2. Nature of Our Services
Accredited is a media and research platform that publishes and distributes information about private businesses and investment opportunities. We do not offer, solicit, or sell securities. We are not a broker-dealer, investment adviser, or financial institution, and nothing on this site constitutes financial, legal, or investment advice. All information is provided for informational purposes only. You are solely responsible for performing your own due diligence before making any investment or financial decision.
3. Newsletter and Communications
By subscribing to our newsletter or submitting your contact information, you consent to receive communications from us and our investment partners. When you subscribe, you acknowledge and agree that we may share your contact details with select investment partners who may reach out directly if they believe an opportunity may be relevant to you. You may opt out of receiving these communications at any time by using the unsubscribe link in any email or contacting us directly.
4. Paid Subscriptions, Free Trials, and Automatic Renewal
IMPORTANT: IF YOU START A FREE TRIAL OF ACCREDITED PRO, YOUR PAYMENT METHOD WILL BE CHARGED AUTOMATICALLY WHEN THE TRIAL ENDS FOR THE FULL PRICE OF THE PLAN YOU SELECTED (MONTHLY OR ANNUAL), UNLESS YOU CANCEL BEFORE THE TRIAL ENDS. YOUR SUBSCRIPTION WILL THEN RENEW AUTOMATICALLY AT THE END OF EACH BILLING PERIOD, AND YOU WILL BE CHARGED FOR EACH RENEWAL, UNTIL YOU CANCEL. PAYMENTS ARE NON-REFUNDABLE EXCEPT AS STATED IN THESE TERMS OR REQUIRED BY LAW.
4.1 Plans and Pricing
Certain features of the Services are available only through a paid subscription (“Accredited Pro” or a “Subscription”). Subscriptions are offered on a monthly or an annual billing period. The price, billing period, and any free trial that apply to you are shown at checkout before you submit your payment information. All prices are in U.S. dollars and do not include applicable taxes, which you are responsible for paying. An annual Subscription is billed as a single payment for the full year in advance.
4.2 Free Trials
We may offer eligible new subscribers a free trial. The length of the trial is shown at checkout and is currently seven (7) days for most new subscribers. You must provide a valid payment method to start a free trial. You will not be charged during the trial. When the trial ends, your Subscription will begin automatically and your payment method will be charged the full price of the plan you selected at checkout, including the full annual price in a single payment if you selected an annual plan, unless you cancel before the trial ends. We may send you a reminder before your trial ends, but we are not obligated to do so, and not receiving a reminder does not relieve you of the charge. Free trials are limited to one per person and per payment method. We may determine trial eligibility, and modify or end trial offers, at our discretion.
4.3 Automatic Renewal and Authorization to Charge
Your Subscription renews automatically at the end of each billing period for another period of the same length (monthly or annual), and you will be charged at the then-current price for your plan on each renewal date, until you cancel. By starting a free trial or purchasing a Subscription, you authorize us and our payment processor, Stripe, to store your payment method and to charge it, without further authorization from you, for the Subscription fee when your trial ends, for every renewal, and for any taxes and other charges you incur through the Services. You agree to keep your payment information current. If you update your payment method, this authorization applies to the new payment method.
4.4 How to Cancel
You may cancel your Subscription at any time from the Account page in the Services or by contacting us. To avoid being charged when a free trial ends, you must cancel before the trial ends. To avoid being charged for a renewal, you must cancel before your renewal date. When you cancel, your Subscription will not renew, and you will keep access to paid features until the end of the trial or billing period you have already started or paid for. Deleting the app, closing your browser, not using the Services, or unsubscribing from emails does not cancel a Subscription.
4.5 No Refunds
All Subscription fees are non-refundable, including fees charged automatically when a free trial ends and fees charged on renewal. We do not provide refunds or credits for partial billing periods, unused time, unused features or credits, or periods in which you did not use the Services, including for annual Subscriptions cancelled before the end of the year. Any refund or credit we choose to give in a particular case is at our sole discretion and does not obligate us to give one in any other case. This section does not limit any refund right you may have under applicable law that cannot be waived.
4.6 Price Changes
We may change Subscription prices from time to time. If we increase the price of your plan, we will notify you in advance, and the new price will apply starting with your next renewal after the notice. If you do not agree to the new price, you may cancel before that renewal.
4.7 Failed Payments
If a payment fails, we and our payment processor may retry the charge, and we may suspend or limit your access to paid features until the outstanding amount is paid. You remain responsible for any amounts that are due.
4.8 Add-Ons and One-Time Purchases
Additional credits, credit add-ons, direct mail letters, and other purchases made through the Services are billed as described at the time of purchase. Recurring add-ons renew and are charged with your Subscription under the same terms as this section until you cancel them. One-time purchases are non-refundable once purchased or used, except as stated at the time of purchase or required by law.
4.9 Billing Disputes and Chargebacks
If you believe you have been charged in error, please contact us within thirty (30) days of the charge, and before disputing it with your bank or card issuer, so that we can review it. You agree that charges made in accordance with this section were authorized by you. If you dispute or charge back a charge that was made in accordance with these Terms, we may suspend or terminate your account, we may provide evidence of your acceptance of these Terms and your use of the Services to your bank or card issuer, and you remain responsible for the amount due.
5. User Data and Privacy
We collect personal data such as your name, email address, and any other information you voluntarily provide. We handle this information in accordance with our Privacy Policy. By using our Services, you consent to our collection, use, and limited sharing of your information as described there. 9. Limitation of Liability
To the maximum extent permitted by law, Accredited, its owners, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or relating to your use of the Services, including but not limited to loss of profits, data, or goodwill. You agree to use the information provided entirely at your own risk.
10. Third-Party Links and Partners
Our Services may include links to third-party websites or communications from investment partners. We do not control or endorse any third-party content, and we are not responsible for any products, services, or information they provide. Your dealings with any third party are solely between you and that party.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered in Deschutes County, Oregon, under the rules of the American Arbitration Association. Each party shall bear its own legal fees and costs, except where otherwise required by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Accredited and its affiliates from any claim, liability, loss, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.
13. Modifications
We may update these Terms at any time without prior notice. Any changes will be posted on this page with an updated effective date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
14. Termination
We reserve the right to suspend or terminate access to the Services at our discretion, without notice, for any conduct that violates these Terms or is otherwise harmful to our interests.
