This is an IT staffing and services business selling staff augmentation, project support, and outsourcing to a blend of direct clients and MSPs. The revenue-generating team is US-facing, but the entire back-office (recruiting, finance, and HR) runs out of India, which is the structural reason the business throws off $772k of cash flow on $5.5m of revenue at roughly a 14 percent margin. That labor-arbitrage model is the whole engine here: US billing rates, India cost base.
The company is described as absentee-owned and turnkey, with owners motivated to retire quickly. The pitch leans heavily on roll-up potential, arguing a buyer with a similar-sized IT staffing firm could fold this in and re-rate the combined earnings on exit. There is also an AI chatbot in rollout, framed as a strategic sales tool and a potential spin-off, though that is unproven optionality rather than current cash flow.
At a $1.8m asking price against $772k of cash flow, this is a 2.33x multiple, which is cheap on its face for a services business. That discount is doing work: staffing is thin-margin, client-concentrated, and here the operating engine sits offshore and the current owners are checked out. The price reflects transferability and durability risk more than it reflects a bargain.
Why we like it
- The 2.33x cash flow multiple is well below typical IT staffing comps that trade 3x to 5x, and $772k of SDE on $5.5m revenue implies real margin discipline for the category. If the earnings are clean and transferable, the entry price alone builds in downside protection. The gap between this and comparable staffing deals is the whole thesis.
- The India back-office is a genuine cost moat if it holds. Running all recruiting, finance, and HR offshore is why this business earns a 14 percent margin in an industry where 5 to 8 percent is common. That structure is hard for a domestic-only competitor to replicate quickly.
- The mix of direct clients and MSP relationships is more resilient than a pure staffing agency dependent on a single channel. MSP relationships provide recurring req flow, while direct clients carry better margins. Diversified demand is a real asset in a cyclical labor market.
- For a strategic buyer with an existing IT staffing firm, the roll-up logic is legitimate: bolt on the book, consolidate back-office onto the India platform, and re-rate combined earnings at exit. The offshore infrastructure could absorb incremental headcount at low marginal cost. This is a synergy story with an actual operational basis, not just spreadsheet math.
How to improve it
- Map client concentration in the first 30 days and lock the top accounts with longer-term MSAs or preferred-vendor status. Staffing revenue evaporates fast when a single large client leaves, so contractual stickiness is the first defense. This directly protects the $772k cash flow the price is built on.
- Formalize the India back-office into a documented, retention-secured operation. The entire margin advantage depends on that team staying and functioning post-close, so put key personnel on retention agreements and document every recruiting and finance workflow. An absentee owner leaving with tribal knowledge is the single biggest execution risk.
- Shift the recruiting engine toward higher-bill-rate skill niches (cloud, security, data, ERP) where margins are fatter and consultant churn is lower. Commodity staff-aug is a race to the bottom; specialization defends both price and gross margin. This is achievable within the existing offshore recruiting capacity.
- Build a real direct-client sales motion rather than relying on inbound MSP req flow. Direct placements carry meaningfully higher margins than MSP-mediated ones. Hiring or incentivizing one or two US-based account executives would shift the revenue mix toward the profitable channel.
- Pressure-test the AI chatbot initiative and decide fast whether it is a real product or a distraction. Either resource it properly as a spin-off with its own P&L or shelve it and redirect focus to the core staffing operation. Half-built strategic side projects drain absentee-owned businesses.
- Install owner-independent management before the sellers exit. The business is absentee-owned today, which is good, but you need to confirm who actually runs day-to-day and put a compensated GM structure in place. This turns a fragile handoff into a durable operating company.
- Tighten days-sales-outstanding and cash conversion on the receivables. Staffing firms live and die on the gap between paying consultants and collecting from clients. Improving collections and negotiating faster payment terms directly frees working capital in a labor-heavy model.
Diligence notes
- Reconcile the $772k cash flow claim against actual financials and confirm what add-backs are included. At a business framed for a quick retirement sale, verify the SDE reflects a fully staffed operation and not owner-suppressed costs. Get client-level gross margin, not just blended numbers.
- Client concentration is the make-or-break item. Pull revenue by client for the last three years and identify how much sits in the top three accounts and whether any are month-to-month or at-will. A staffing book with one 40 percent client is worth far less than the headline multiple suggests.
- Scrutinize the India entity structure, employment compliance, and transferability. Confirm the offshore team is legally employed, that the contracts and IP transfer cleanly to a buyer, and that there is no key-person dependency in the back-office leadership. The entire margin thesis dies if that operation cannot be retained post-close.
- Investigate why absentee owners are selling at 2.33x when the category trades higher, and whether cash flow is trending down. A cheap multiple in a decent industry usually signals a hidden problem: client attrition, consultant churn, or a fading pipeline. Get monthly revenue and active-consultant headcount for the trailing 24 months.
- Verify consultant retention and the recruiting pipeline health. Staffing value is the placed workforce plus the ability to refill; confirm bench strength, req fill rates, and how dependent placements are on a few recruiters. High consultant churn quietly erodes the margin over time.
- Treat the AI chatbot as zero value until proven otherwise and confirm it carries no undisclosed liabilities or capex commitments. Understand whether it has any customers, revenue, or contractual obligations. Do not pay for optionality that is really an unfunded R&D project.
