This is a six-year-old direct-to-consumer pest control brand operating primarily through a Shopify store, with a product line led by a proprietary non-toxic mosquito trap and a mice eliminator pouch. The pitch to the homeowner is simple: kill the pests without dousing your house in chemicals. Over the trailing twelve months the business did $10.7M in revenue with $2.4M in SDE, growing revenue 45% and SDE 55% year over year off a 2024 dip caused by a temporary product pause during a state registration process.
The interesting wrinkle here is that the regulatory pain became the moat. Every product now carries proper EPA FIFRA Section 25(b) exemption registration across 45+ states, an expensive and slow process that keeps most would-be competitors out of the category and satisfies Amazon's strict compliance enforcement. The flagship trap runs a proprietary bait formulation and trapping mechanism refined over 50+ rounds of testing, which is real product differentiation rather than a me-too dropship SKU. Pest control is an evergreen, non-discretionary category, and demand for it does not vanish when the economy softens.
Operationally the business is close to absentee. A small tenured team spans marketing, operations, and customer service, cranks out roughly 20 ad concepts weekly, and runs off documented SOPs while the owner spends only a few hours a week on oversight. The seller is exiting due to health issues, has agreed to a non-compete and a thorough transition, and the ideal buyer either understands paid social or has someone who does, since the growth engine is currently concentrated in a single paid social channel.
Why we like it
- Earnings quality is strong for an ecom deal, with $2.4M SDE on $10.7M revenue for a 22% margin and 55% SDE growth outpacing 46% revenue growth. That operating leverage suggests the model gets more profitable as it scales, and the fact that most of the team stays under new ownership means the earnings are not tied solely to the departing founder.
- The regulatory moat is the real story here and it is unusual for a Shopify business. FIFRA Section 25(b) registration across 45+ states is slow, costly, and enforced hard by Amazon, which structurally limits competition in a way that pure marketing-driven ecom brands never enjoy. A proprietary bait formulation refined over 50+ testing rounds adds product-level defensibility on top of the paperwork barrier.
- Pest control is genuinely recession-resistant demand, which is rare for a DTC consumer brand. Mice and mosquitoes show up every season regardless of GDP, and the non-toxic angle taps a durable consumer preference rather than a fad. This is closer to a consumables and replacement-parts business than a discretionary trend product.
- Ownership is effectively passive with the owner at a few hours a week, giving a capital-backed buyer a business that runs on documented SOPs and a tenured team. That absentee structure combined with 45% growth means the upside is not dependent on the buyer personally grinding, only on someone competent overseeing paid social.
How to improve it
- Test the price. The listing says pricing has never moved since launch despite sitting well below competitors, which is the highest-ROI lever in the whole deal. Even a modest 10-15% price increase on the flagship trap flows almost entirely to SDE with near-zero cost to test, and you can A/B it in weeks.
- Launch the all-season spray with subscription. The product is already fully sourced and aimed at the slow fall-to-winter season, so getting it live smooths the seasonality that currently concentrates cash flow. Attaching a subscription mechanic converts one-time trap buyers into recurring revenue and lifts LTV and enterprise value at exit.
- Diversify beyond the single paid social channel. Concentration in one paid channel is the biggest fragility here, so standing up YouTube, TikTok, and an affiliate/creator program reduces platform risk while opening new demand. The listing pegs the affiliate build at under $1,000 per month, which is a rounding error against $2.4M SDE.
- Deepen Amazon presence given the compliance moat. Since Amazon enforces the same FIFRA standards that keep competitors out, being fully registered is a durable advantage on that marketplace specifically. Expanding SKUs and ad spend on Amazon leans directly into the regulatory edge rather than competing on generic Shopify traffic.
- Pursue retail and QVC/HSN distribution. Brick-and-mortar and TV shopping channels are flagged as untapped, and a differentiated non-toxic product with real registrations is exactly what buyers there want. Landing even one or two regional retail accounts adds a revenue stream that does not depend on CAC from paid social.
- Build a second-source supply chain and lock in bait formulation IP. Because the proprietary bait is the product differentiator, single-supplier risk on that input is a real exposure. Securing a backup manufacturer and formalizing any trade-secret or patent protection hardens the moat and protects margins.
- Systematize the ad creative machine. The team already produces 20 concepts weekly, so instrumenting that with better creative testing analytics and winner-scaling discipline can lift blended ROAS. Small improvements in creative efficiency compound directly into the paid social channel that drives the whole business.
Diligence notes
- Scrutinize the 2024 pause and the FIFRA registration status state by state. The flagship line was suspended while resolving a state registration matter, so confirm every one of the 45+ state registrations is current, transferable, and not subject to pending challenges. Understand exactly what triggered the original pause and whether any state remains a re-occurrence risk.
- Validate the growth trajectory against the recovery narrative. Revenue up 45% and SDE up 55% off a suppressed 2024 base can flatter the numbers, so pull monthly revenue and margin data across 2023 through TTM to separate genuine growth from rebound. Confirm the recovery is sustained rather than a one-time snap-back after relisting the flagship.
- Stress test the paid social dependency and CAC trends. Get channel-level spend, ROAS, and blended CAC over time to see whether growth was bought at deteriorating efficiency. Concentration in a single paid channel means a platform policy change or rising CPMs could hit the P&L hard, so quantify that exposure.
- Verify SDE add-backs and true owner economics. At a few hours a week of owner involvement, confirm the SDE reflects a fully staffed cost structure with no hidden owner labor or under-market team pay that a buyer would need to replace. Reconcile the $2.4M SDE to bank statements and Shopify/Amazon payout records.
- Confirm supplier and inventory dynamics. Understand who manufactures the proprietary bait and trap, contract terms, lead times, and whether the formulation IP transfers cleanly in the sale. Check inventory levels and working capital needs given the seasonal demand curve.
