Full Editorial Writeup
This is a federal-focused IT services firm built around three lines: IT modernization, staff augmentation, and research & development. The company specializes in cloud and AI solutions for aerospace and public sector clients, orchestrating a flexible workforce ecosystem rather than carrying a heavy fixed bench. Its anchor customers are blue-chip government agencies including NASA and the USDA, and it has earned the highest possible CPARS rating for six consecutive years (2020-2025), a performance record that is visible to every US federal agency and functions as a powerful credential when competing for new awards.
The growth profile is the headline. Revenue compounded at roughly 76.9% and adjusted EBITDA at roughly 90.9% from 2023 through the TTM ending August 2026, reaching about $10.0M in revenue and $1.97M in EBITDA, a near 20% margin for a services firm. The company has assembled a credential stack that is hard to replicate quickly: AWS Select Tier Services Partner, Upwork Enterprise Partner, WordPress VIP Public Sector Partner, and DataRobot Partner, plus access to a US Department of War multiple award contract with a $7.5B ceiling and a recent $475M contract award ceiling.
Only about 17.3% of TTM revenue is from recurring contracts, so the majority of the book is project and task-order work that must be re-won as contracts cycle. The owner is a single shareholder looking to de-risk and pursue other ventures while remaining for a transition period. The business is effectively asset-light, operating remotely out of a 215 square foot subleased office, which means the value is concentrated in contracts, clearances, past performance, and key personnel rather than physical plant.
Why we like it
- Earnings quality is strong for a services firm, with about $1.97M of EBITDA on $10.0M of revenue, close to a 20% margin, driven off an asset-light remote model. The flexible workforce ecosystem means labor flexes with contract wins rather than sitting idle, which protects margin through revenue swings.
- The moat is the credential and past-performance stack that government buyers actually price in. Six straight years of top CPARS ratings, visible to every federal agency, plus AWS, Upwork, WordPress VIP, and DataRobot partnerships, create switching friction and a credible bid position that new entrants cannot assemble overnight.
- Federal IT modernization and AI/cloud spend is a durable tailwind that largely survives downturns because it runs on appropriated budgets and multi-year mandates rather than discretionary consumer demand. Anchor logos like NASA and the USDA signal the company can win and keep demanding, mission-critical work.
- An operator can underwrite real upside from existing contract vehicles, including a Department of War multiple award contract with a $7.5B ceiling and a recent $475M award ceiling. These are pre-won doors to additional task orders, meaning growth can come from execution against ceilings already in hand rather than greenfield business development.
How to improve it
- Push recurring revenue well above the current 17.3% by converting project work into managed services, O&M contracts, and sustainment task orders. Higher recurring mix smooths the revenue line, improves buyer multiples on a future exit, and reduces the constant pressure to re-win work.
- Execute aggressively against the existing contract ceilings. The $7.5B DoW multiple award vehicle and $475M award ceiling are already won, so the first 90 days should map which task orders are open, which agencies are buying, and build a pipeline to capture share against ceilings that are currently underutilized.
- Complete the Secret-level Facility Clearance sponsorship to unlock national security and classified work. An FCL expands the addressable set of contracts and typically carries higher margins and stickier relationships, materially widening the moat.
- Diversify beyond pure federal into state, local, and commercial markets by repackaging the agency modernization track record. This reduces single-customer-channel risk (government shutdowns, continuing resolutions, procurement delays) and opens faster-closing commercial sales cycles.
- Build inbound demand generation through SEO and social, which the listing flags as underdeveloped. For a firm with marquee logos and a top CPARS record, content marketing and case studies can lower customer acquisition cost and generate commercial leads that complement the bid-driven federal pipeline.
- Formalize and productize the proprietary IP and AI-native workflows referenced in the listing. Turning internal tooling into repeatable, billable accelerators improves delivery margin and creates differentiation in competitive bids where price and speed decide awards.
- Lock in key personnel with retention and equity-style incentives before closing. In a credential-and-people business, the value walks out the door if cleared staff or program managers leave, so a retention plan protects both past performance ratings and contract continuity.
Diligence notes
- Scrutinize contract concentration and backlog quality. With only 17.3% recurring, understand what share of the $10.0M comes from one or two agencies or task orders, the remaining period of performance on each, re-compete dates, and option year exercise history.
- Validate the growth story and its durability. Revenue CAGR of 76.9% and EBITDA CAGR of 90.9% off a small base can reflect a few large wins, so confirm whether the TTM ending August 2026 figures are actuals or forecast, and whether margins are sustainable or boosted by one-time work.
- Confirm the status and transferability of contract vehicles and clearances. Verify the company is an active awardee (not just eligible) on the DoW $7.5B and $475M ceilings, how a change of ownership affects novation and prime status, and the current state of the FCL sponsorship.
- Assess the reliance on the subcontractor and gig workforce model. The flexible ecosystem and Upwork partnership raise questions about worker classification, continuity of key deliverers, and whether cleared or specialized talent can be retained through a sale.
- Pressure test the shareholder transition and key-person risk. A single owner de-risking to pursue other ventures is a yellow flag in a relationship-driven federal business, so define the length of transition, which agency relationships are personal versus institutional, and succession for program leadership.
- Review CPARS detail and compliance posture agency by agency. The top rating is a core asset, so confirm it holds across all active contracts, check for any corrective actions, protests, or audit findings, and verify compliance with federal cybersecurity and reporting requirements.
